§25: Subscription Terms

25.1 Plans and billing

AcadCert offers the Platform under three subscription tiers: Starter, Professional, and Institution (custom). The features, allocations, and limits of each tier are those published on the pricing page at the time of subscription, or as set out in a signed order form, whichever is agreed later. Published prices may be revised from time to time, provided that existing subscribers receive not less than thirty (30) days written notice of any change and no change takes effect mid-term; revised prices apply only from the start of the next billing period or renewal term. Annual plans are invoiced and payable in full upfront. Monthly plans are billed in advance on the same calendar date of each month or, where a month has no such date, on the last day of that month. All amounts are stated exclusive of applicable taxes, duties, and levies, which are the responsibility of the subscriber, other than taxes on AcadCert’s income.

25.2 Free trial

Founding institution accounts receive a three (3) month free trial with full feature access. No payment obligation arises during the trial period and no payment method is required to commence it. AcadCert will issue a custom pricing proposal before the trial ends. No charge will be applied, and no paid Subscription will commence, unless and until a written agreement is signed by an authorised representative of the institution. AcadCert may suspend or terminate a trial at any time in the case of misuse, breach of these Terms, or use materially exceeding fair evaluation purposes. Data created during a trial that does not convert to a paid Subscription is handled in accordance with the Termination section.

25.3 Auto-renewal

Unless cancelled in accordance with clause 25.4, each Subscription renews automatically at the end of its then-current billing period for a successive period of equal length, at the rates in effect at the start of the renewal period (subject to the price change notice requirements of clause 25.1). To prevent renewal, the subscriber must give written notice of non-renewal to onboarding@acadcert.com not less than thirty (30) days before the renewal date. Notice is effective upon confirmed receipt by AcadCert.

25.4 Cancellation and refunds

A subscriber may cancel a Subscription at any time by written notice. Cancellation takes effect at the end of the then-current billing period, and access continues until that date. Fees for monthly plans are non-refundable once billed. For annual plans, where notice of cancellation is received within thirty (30) days after a renewal date, AcadCert will refund the pro-rata value of the unused complete months of that renewal term; where notice is received more than thirty (30) days after a renewal date, the renewal term is non-refundable. Except as expressly set out in this clause or as required by applicable law, all fees are non-refundable, and no credit is given for partial use, unused allocations, or downtime not covered by a separately agreed service level commitment.

25.5 Add-ons

Add-ons (including additional issuer seats, sub-institutions, and credential top-up blocks) are one-off purchases, payable in full at the time of order and non-refundable once provisioned. Add-ons are bound to the purchasing account, not to a tier: on downgrade, previously purchased add-ons carry over and only the tier’s base allocation changes. Add-ons have no cash value, are not transferable between accounts, and are forfeited without compensation on full cancellation or termination of the account.

25.6 Credential limits

Starter tier accounts include an allocation of two thousand (2,000) credentials per subscription year. Additional capacity may be purchased in blocks of one thousand (1,000) credentials at the rate published at the time of purchase. Allocations reset at the start of each subscription year; unused credentials do not roll over and have no cash value. When an account reaches its limit, issuance is suspended until the account is upgraded or additional capacity is purchased. Suspension of issuance for this reason does not constitute a service failure, does not entitle the subscriber to any refund or credit, and does not affect the verifiability of previously issued Credentials.

25.7 Tier changes

Upgrades take effect immediately upon confirmation, and the price difference is charged pro-rata for the remainder of the current billing period. Downgrades take effect at the start of the next billing period. No data is deleted as a result of a downgrade; features or usage exceeding the new tier’s limits are suspended until usage falls within those limits. The subscriber remains responsible for all fees accrued at the higher tier up to the effective date of the downgrade.

25.8 Founding institution pricing

Founding institution pricing is custom, negotiated directly with AcadCert, and recorded in a separate signed agreement. Once signed, founding pricing is binding on both parties for the agreed term and is unaffected by any subsequent change to published tier prices. Founding status is limited to the first ten (10) qualifying institutions and requires a signed agreement on or before 31 October 2026; AcadCert determines qualification in its reasonable discretion. The commercial terms of a founding agreement are confidential and may not be disclosed by either party except as required by law.

25.9 Payment, invoicing, and late payment

Singapore-based accounts are invoiced in Singapore dollars (SGD) and may pay via PayNow. Overseas accounts are invoiced in SGD and may pay via international bank transfer (SWIFT); all transfer, intermediary, and currency conversion fees are the subscriber’s responsibility, and the amount received by AcadCert must equal the invoiced amount. Invoices are due within fourteen (14) days of issue. Overdue balances accrue a late payment fee of one point five percent (1.5%) per month, or the maximum rate permitted by applicable law if lower, accruing daily from the due date until payment in full. AcadCert may suspend Platform access for accounts more than thirty (30) days overdue, following written notice, without prejudice to any other right or remedy and without liability for the consequences of suspension. Invoice disputes must be raised in writing within fourteen (14) days of the invoice date, failing which the invoice is deemed accepted; undisputed amounts remain payable when due. AcadCert may add or remove payment methods on fourteen (14) days notice.

25.10 Acceptable use of subscription

Subscriptions are granted solely to the legal entity named in the registration or order and extend only to that entity’s authorised personnel. Resale, sublicensing, rental, sharing across unaffiliated entities, or any other transfer of a Subscription, in whole or in part, requires the prior written consent of AcadCert, which may be withheld at its discretion. Any purported transfer in breach of this clause is void and constitutes a material breach of these Terms entitling AcadCert to terminate the Subscription in accordance with the Termination section.

25.11 Relationship to these Terms and governing law

These subscription terms form part of, and are governed by, the Terms of Service as a whole, including the Dispute resolution section and the Governing law and jurisdiction section (laws of the Republic of Singapore). In the event of any conflict between these subscription terms and a signed order form or other written agreement executed by both parties, the signed document prevails to the extent of the conflict.
